1. Acceptance of Terms

Welcome to TrueTone AI. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and TrueTone AI, LLC, a Virginia limited liability company ("TrueTone AI," "we," "us," or "our").

By accessing or using our platform, website, applications, or services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

Electronic Acceptance: By clicking "I Agree," "Sign Up," "Create Account," or by accessing or using the Service, you consent to these Terms with the same legal effect as a handwritten signature.

Age Requirement: You must be at least eighteen (18) years of age or the legal age of majority in your jurisdiction to use this Service. By using the Service, you represent and warrant that you meet this requirement.

Authority to Bind: If you are using the Service on behalf of a company, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you individually and the entity you represent.

2. Definitions

• "Service" or "Platform" means the TrueTone AI website, applications, APIs, and all related services and features.
• "User" or "Customer" means any individual or entity that accesses or uses the Service.
• "Organization" or "Enterprise Account" means a company, business, or entity with multiple users under a single account.
• "Generated Content" means any content, including but not limited to text, audio, video scripts, social media posts, blogs, and emails, created using our AI-powered tools.
• "User Content" means any content, data, or materials you upload, submit, or transmit to the Service.
• "Voice Data" means voice recordings, voice samples, and voice models created or uploaded through the Service.
• "Subscription" or "Plan" means the paid access tier you have selected for the Service.
• "Third-Party Services" means external services, platforms, or integrations connected to or used in conjunction with the Service.

3. Account Registration & Security

3.1 Registration Requirements

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. We use Kinde for authentication services, and you agree to comply with their terms in addition to ours. You must immediately notify us of any unauthorized use of your account or any other breach of security.

3.3 Account Restrictions

You may not share your account credentials with others or allow multiple individuals to use a single account. Organization accounts may have multiple authorized users as specified in your subscription plan.

3.4 Account Suspension

We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraudulent activity, non-payment, or as required by law.

4. Service Description

4.1 Core Services

TrueTone AI provides the following services:

• AI Content Generation: Creation of blog posts, social media content, emails, and video scripts using artificial intelligence.
• Voice Cloning & Audio Generation: Voice synthesis and audio content creation powered by ElevenLabs technology.
• Website Hosting & Management: Hosted websites on truesite.ai subdomains or custom domains with content management capabilities.
• Contact & CRM Management: Customer relationship management and contact tracking tools.
• Review Management: Collection, management, and display of customer reviews.
• Content Scheduling: Automated scheduling and publishing of content across platforms.
• Analytics & Reporting: Performance tracking and analytics for your content and websites.

4.2 Service Tiers & Limitations

The Service is offered in various subscription tiers with different features, usage limits, and pricing. Specific limitations are described on our pricing page and in your subscription agreement. We reserve the right to modify features and limitations with reasonable notice.

4.3 Service Availability

We strive to maintain continuous availability of the Service but do not guarantee uninterrupted access. The Service is provided on a "best efforts" basis without any service level guarantees unless separately agreed in writing for enterprise customers.

5. Subscription & Payment Terms

5.1 Payment Processing

All payments are processed through Stripe, Inc. By subscribing to the Service, you agree to Stripe's terms of service. We do not store your complete credit card information on our servers.

5.2 Billing Cycles

Subscriptions are billed in advance on a monthly or annual basis, depending on the plan you select. Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date.

5.3 Free Trial

New users may be eligible for a seven (7) day free trial period. During the trial, you have access to the Service features as specified. If you do not cancel before the trial ends, your paid subscription will begin automatically.

5.4 Refund Policy

All sales are final after the free trial period. We do not provide refunds for any subscription fees once your paid subscription begins. You may cancel at any time, but you will continue to have access until the end of your current billing period.

5.5 Price Changes

We reserve the right to change subscription prices. Price changes will be communicated at least thirty (30) days in advance and will take effect at the beginning of your next billing cycle.

5.6 Payment Failure

If payment fails, we will attempt to process the payment again. After multiple failed attempts, your account may be suspended until payment is successfully processed. Continued failure to pay may result in account termination.

6. Intellectual Property Rights

6.1 TrueTone AI Property

The Service, including all software, designs, text, graphics, logos, trademarks, and other materials (excluding User Content and Generated Content), is owned by or licensed to TrueTone AI and is protected by copyright, trademark, and other intellectual property laws.

6.2 User Content Ownership

You retain all ownership rights in your User Content. By uploading User Content to the Service, you grant TrueTone AI a non-exclusive, worldwide, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Service.

6.3 AI-Generated Content Ownership

You own all Generated Content created through your use of the Service. Upon generation, all rights in the Generated Content transfer to you, subject to the following:

• Generated Content is provided "as-is" without warranty of accuracy, originality, or fitness for any particular purpose.
• You are solely responsible for reviewing Generated Content before use and ensuring it meets your requirements and applicable laws.
• We do not guarantee that Generated Content will not infringe third-party rights.
• We do not use your Generated Content to train our AI models.

6.4 Voice Data Rights

You retain ownership of your Voice Data. By uploading Voice Data, you grant us permission to process it through our voice synthesis partners (including ElevenLabs) for the purpose of creating voice models and generating audio content. You may request deletion of your Voice Data at any time.

7. User Conduct & Acceptable Use

7.1 Prohibited Uses

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or discriminatory
• Impersonate any person or entity or misrepresent your affiliation
• Distribute malware, viruses, or other harmful code
• Send spam, unsolicited communications, or engage in phishing
• Generate misleading financial or mortgage advice that violates CFPB, TILA, RESPA, or other regulations
• Scrape, harvest, or collect data from the Service without authorization
• Attempt to gain unauthorized access to the Service or its systems
• Circumvent any security measures or usage limitations
• Resell, sublicense, or redistribute the Service without authorization

7.2 Content Standards

All content generated or uploaded must comply with our content standards:

• No illegal content
• No hate speech, discrimination, or harassment
• No sexually explicit or pornographic content
• No promotion of violence or dangerous activities
• Accurate business representations only
• Compliance with industry-specific regulations

7.3 Review System Guidelines

If you use our review management features, you agree to display only authentic customer reviews, not generate fake reviews, properly attribute all reviews, and comply with the terms of service of any connected review platforms (e.g., Google Business Profile).

8. Third-Party Services & Integrations

The Service integrates with various third-party services, including but not limited to:

• Kinde: Authentication and identity management
• Stripe: Payment processing
• ElevenLabs: Voice synthesis and cloning
• OpenAI/Anthropic: AI content generation
• Google APIs: Review synchronization and analytics
• Bundle Social: Social media scheduling
• FireCrawl: Website analysis and enrichment

Each third-party service is governed by its own terms of service and privacy policy. By using integrations, you agree to comply with those terms. We are not responsible for the availability, accuracy, or practices of third-party services.

When you authorize connections to third-party services (such as Google OAuth), you consent to the data sharing required for those integrations to function.

9. Website Hosting Terms (truesite.ai)

If you use our website hosting services:

• Subdomain Assignment: You may receive a subdomain on truesite.ai (e.g., yourname.truesite.ai).
• Custom Domains: You may connect custom domains you own, subject to proper DNS configuration and domain verification.
• Content Responsibility: You are solely responsible for all content published on your hosted website.
• Resource Limits: Websites are subject to reasonable bandwidth and storage limits based on your subscription tier.
• SSL/TLS: We provide SSL certificates for hosted websites.
• Content Removal: We reserve the right to remove content that violates these Terms or applicable law.

10. Data & Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

Data Processing: For enterprise customers requiring a Data Processing Agreement (DPA), please contact us at legal@truetone.ai.

Data Portability: You may export your User Content and Generated Content through the Service's export features. Some limitations may apply based on data format and volume.

Backups: While we maintain backups for disaster recovery, you are responsible for maintaining your own backups of critical content.

11. Warranties & Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

We specifically disclaim all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that:

• AI-generated content will be accurate, complete, or suitable for your purposes
• The Service will be uninterrupted, secure, or error-free
• Any errors will be corrected
• Third-party services will be available or function correctly
• The Service will meet your specific requirements

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate material, and you are solely responsible for reviewing and approving all content before use.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

TrueTone AI, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business
• Loss of data or content
• Loss of goodwill or reputation
• Cost of substitute services
• Any damages arising from reliance on AI-generated content

Our total liability for all claims related to the Service shall not exceed the greater of: (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless TrueTone AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your User Content or Generated Content
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of any applicable laws or regulations
• Any claims arising from your hosted website content

We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.

14. Termination

14.1 Termination by You

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation will take effect at the end of your current billing period.

14.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for violation of these Terms, non-payment, suspected fraudulent activity, or as required by law.

14.3 Effect of Termination

Upon termination:

• Your right to access the Service immediately ceases
• You will have thirty (30) days to export your data
• After the export period, your data will be permanently deleted
• Hosted websites will be taken offline
• No refunds will be provided for unused subscription time

14.4 Survival

The following sections survive termination: Intellectual Property Rights, Limitation of Liability, Indemnification, Dispute Resolution, and General Provisions.

15. Dispute Resolution

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

15.2 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at legal@truetone.ai and attempt to resolve any dispute informally for at least thirty (30) days.

15.3 Binding Arbitration

ANY DISPUTE ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL BE RESOLVED BY BINDING ARBITRATION administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Virginia, and the arbitrator's decision shall be final and binding.

15.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS.

15.5 Small Claims Exception

Notwithstanding the above, either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. For material changes, we will provide at least thirty (30) days' notice via email or through the Service.

Your continued use of the Service after any modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service and may cancel your subscription.

Non-material changes (such as formatting or clarifications) may be made without notice.

17. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TrueTone AI regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any provision shall not constitute a waiver of that provision.
• Assignment: You may not assign these Terms without our written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet outages.
• Notices: We may send notices via email to the address associated with your account. You may send legal notices to legal@truetone.ai.
• Independent Contractors: Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship.
